These Terms and Conditions govern your use of the Synthari website at synthain.live and any services you engage from Synthari Pte. Ltd. By accessing our website or submitting an enquiry, you agree to these terms.
1. DEFINITIONS
In these Terms and Conditions, the following terms have the meanings set out below:
- "Synthari" / "We" / "Us" / "Our" refers to Synthari Pte. Ltd., a company registered in Singapore.
- "Service" refers to any computer vision development, scoping, or consulting engagement provided by Synthari.
- "User" / "You" / "Client" refers to any individual or organisation accessing this website or engaging Synthari's services.
- "Deliverable" refers to any trained model, documentation, report, or other output agreed as part of an engagement.
- "Agreement" refers to these Terms and Conditions, together with any written project brief or statement of work agreed between the parties.
2. ACCEPTANCE OF TERMS
By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms and Conditions in full. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation.
3. SERVICE DESCRIPTION
Synthari provides computer vision development services including object detection system builds, visual quality inspection workflows, and scoping and pilot engagements. The specific scope, deliverables, pricing, and timeline for any engagement are agreed in a written project brief prior to commencement.
Services are available to businesses and professionals based in Singapore and internationally, subject to applicable legal restrictions. We reserve the right to decline any engagement at our discretion.
4. ENQUIRIES AND PROJECT ENGAGEMENT
Submitting an enquiry via our website does not create a contractual obligation on either party. A binding engagement is formed only when both parties have signed or confirmed in writing a project brief or statement of work, and any applicable payment has been received.
We may decline to proceed with an engagement following a data or feasibility review if we determine that the technical conditions for a successful outcome are not present.
5. PAYMENT TERMS
All prices are quoted and invoiced in Singapore Dollars (SGD) unless otherwise agreed in writing. Payment terms are specified in the project brief. Standard terms require a deposit prior to project commencement, with the balance due on delivery or as otherwise agreed.
Late payment may result in suspension of delivery. Invoices unpaid beyond 30 days from the due date may attract interest at the rate of 8% per annum.
Refunds
Deposits are non-refundable once project work has commenced. If Synthari is unable to complete a project due to circumstances within our control, a prorated refund of fees paid for uncompleted work will be issued. No refunds are applicable for completed deliverables that meet the agreed specification.
6. CLIENT RESPONSIBILITIES
You agree to provide accurate information relevant to your project, including data, images, and environmental details. You confirm that you have the right to share any data or materials provided to Synthari for the purposes of the engagement. Providing inaccurate or incomplete information may affect the performance of deliverables, and Synthari accepts no liability for outcomes arising from such inaccuracies.
Acceptable Use of This Website
You agree not to use this website for any unlawful purpose, to interfere with its operation, or to attempt unauthorised access to any part of the site or its underlying systems.
7. INTELLECTUAL PROPERTY
All content on this website — including text, design, graphics, and code — is the property of Synthari Pte. Ltd. and is protected under applicable intellectual property laws. You may not reproduce, redistribute, or create derivative works from this content without prior written consent.
Ownership of Deliverables
Upon full payment for an engagement, Synthari assigns to the client ownership of the trained model weights and associated documentation produced specifically for that engagement. Synthari retains the right to use general methods, tools, and know-how developed in the course of our work for future projects.
Third-Party Tools
Deliverables may incorporate open-source components licenced under terms such as MIT, Apache 2.0, or similar. These components are used lawfully and any applicable licence terms will be disclosed in the project documentation.
8. CONFIDENTIALITY
Synthari treats all client data, project details, and business information shared during an engagement as confidential. We will not disclose this information to third parties except where required to do so by law, or where you have provided explicit consent. Clients are similarly expected to treat any proprietary Synthari methods or processes shared during a project as confidential.
9. DISCLAIMERS
This website and all services are provided on an "as is" basis. While we take care to ensure accuracy and quality, Synthari makes no warranty — express or implied — that any deliverable will achieve a specific level of performance in all conditions. Model performance is dependent on data quality, environmental consistency, and class definition clarity, all of which are outside our sole control.
Nothing on this website constitutes technical advice applicable to your specific situation. Suitability of any computer vision approach to your use case should be verified through a direct engagement, including our Scoping & Pilot service.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by Singapore law, Synthari's total liability for any claim arising from or relating to a service engagement is limited to the total fees paid by the client for that engagement. We are not liable for indirect, consequential, or incidental losses, including loss of profit, production downtime, or data loss, arising from the use of any deliverable.
Nothing in these terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.
11. INDEMNIFICATION
You agree to indemnify and hold harmless Synthari Pte. Ltd., its directors, and staff from any claims, losses, or expenses arising from your breach of these Terms, your misuse of any deliverable, or your infringement of third-party rights through data or materials you have provided.
12. TERMINATION
Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy that breach within 14 days of written notice. Synthari may immediately suspend or terminate access to services where a client engages in prohibited conduct, fails to make payment, or where continuation would cause legal or reputational harm.
Upon termination, any amounts owed for work completed remain payable. Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.
13. DISPUTE RESOLUTION
These Terms are governed by the laws of the Republic of Singapore. In the event of a dispute, the parties will first attempt to resolve the matter informally through good-faith discussions. If a resolution cannot be reached within 30 days, the dispute will be referred to the Singapore Mediation Centre before any formal legal proceedings are initiated. The courts of Singapore shall have exclusive jurisdiction over any unresolved matters.
14. GENERAL PROVISIONS
Entire Agreement
These Terms, together with any written project brief or statement of work, constitute the entire agreement between the parties and supersede all prior representations and understandings.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in future.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or transfer of business.
15. CHANGES TO THESE TERMS
We may update these Terms from time to time. The updated version will be published on this page with a revised "Last Updated" date. Continued use of our website or services following an update constitutes acceptance of the revised Terms.
